California Gold Mining Inc. ("California Gold") has announced the completion of the previously announced plan of arrangement (the "Arrangement") under the Business Corporations Act (Ontario) pursuant to which Stratabound Minerals Corp. (“Stratabound”) has acquired all of the issued and outstanding common shares of California Gold. As a result of the Arrangement, California Gold has become an indirect wholly owned subsidiary of Stratabound.

The Arrangement was approved by California Gold Shareholders at a special meeting held on June 29, 2021. The Ontario Superior Court of Justice (Commercial List) issued a final order approving the Arrangement on July 5, 2021.

The common shares of California Gold will be delisted at market close on August 16, 2021.

California Gold Mining Inc. ("California Gold") a annoncé la réalisation du plan d'arrangement précédemment annoncé (l'"Arrangement") en vertu de la Loi sur les sociétés par actions (Ontario) en vertu duquel Stratabound Minerals Corp. ("Stratabound") a acquis toutes les actions ordinaires émises et en circulation de California Gold. Par suite de l'arrangement, California Gold est devenue une filiale en propriété exclusive indirecte de Stratabound.

Les actions ordinaires de California Gold seront radiées de la cote à la clôture du marché le 16 août 2021.
