Class A Shares
The total number of outstanding shares does not include 96,521,733 Class A convertible restricted voting shares (the “Class A Shares”) that are issued and outstanding. The Class A Shares are held by U.S. residents and there are restrictions on the ability of U.S. residents to convert such shares into common shares.
The holders of the Class A Shares are entitled to receive notice of and to attend all meetings of the shareholders. The holders of Class A Shares are entitled to one vote per Class A Share at any meeting of the shareholders provided that the holders of the Class A Shares will not be entitled to vote for the election or removal of the directors.
