	The common shares of Calaveras Resource Corp (the “Issuer”) will be delisted at the market close Friday, February 9th 2018.

	Further to the Issuer’s announcements on <a href="http://thecse.com/sites/default/files/2017-11-07-CRC-BlockChainFame.pdf">November 7</a> and <a href="http://thecse.com/sites/default/files/CRC-NR-2017-11-08-CSE.pdf">November 8</a>, 2017, and subsequent news release <a href="http://thecse.com/sites/default/files/CRC-NR-2018-01-23-CSEBusiness.PDF">January 23rd</a> 2018, the CSE has objected to a transaction proposed by the Issuer.

	The CSE has informed the Company that it would object to the transaction for the following reasons:
<ol>
<li>
		The CSE granted an exemption to the requirement for prior expenditures on the Fame Property based on the Issuer’s representations that it intended to pursue the program recommended in the technical report (Recommended Program).&nbsp;&nbsp; The Recommended Program was reviewed by the Exchange and BCSC, and described in the Prospectus.&nbsp; Following its IPO and listing on September 29, 2018, the Issuer elected to undertake a significantly smaller exploration program (the Alternative Program) than the Recommended Program.</li>
<li>
		As indicated in a report on the work completed (“Summary Report”), the Issuer spent $25,000 on the Alternative Program, rather than the budgeted $200,000 on the Recommended Program.</li>
<li>
		Prior to announcing the results of the Alternative Program, and despite recommendations in the Summary Report to spend another $175,000 on 3 identified areas, the Issuer announced 3 options – two being consistent with QP recommendations, the third being to pursue a blockchain technology business.</li>
</ol>

	The Issuer applied to the CSE as, and qualified for listing as a resource issuer. It is the position of the CSE that the Issuer has not adequately pursued the business objectives stated in the prospectus, which is inconsistent with disclosure on which the Exchange’s listing approval and the Qualified Expenditures waiver were granted.&nbsp;

	The Issuer has now obtained shareholder approval to delist from the CSE and pursue the transaction.

	Le retrait des actions ordinaires de Calaveras&nbsp;Resource&nbsp;Corp.&nbsp;(ci-après l’«&nbsp;émetteur&nbsp;») se fera à la clôture du marché le vendredi&nbsp;9&nbsp;février&nbsp;2018.

	À la suite des annonces&nbsp;(en anglais seulement) de l’émetteur, le&nbsp;<a href="http://thecse.com/sites/default/files/2017-11-07-CRC-BlockChainFame.pdf">7&nbsp;novembre</a> et le&nbsp;<a href="http://thecse.com/sites/default/files/CRC-NR-2017-11-08-CSE.pdf">8&nbsp;novembre</a>&nbsp;2017, et du communiqué subséquent émis le<a href="http://thecse.com/sites/default/files/CRC-NR-2018-01-23-CSEBusiness.PDF">&nbsp;23&nbsp;janvier</a>&nbsp;2018, la&nbsp;CSE s’est opposée à une opération proposée par l’émetteur.

	La CSE a informé la société qu’elle s’opposerait à l’opération pour les raisons suivantes&nbsp;:
<ol>
<li>
		La&nbsp;CSE a accordé une exemption à l’exigence concernant les dépenses antérieures effectuées sur la propriété&nbsp;Fame en fonction des déclarations de l’émetteur selon lesquelles il avait l’intention de suivre le programme recommandé dans le rapport technique&nbsp;(programme recommandé). Le programme recommandé a été examiné par la Bourse et la BCSC, et a été décrit dans le prospectus. Le 29&nbsp;septembre&nbsp;2018, après son introduction en bourse et son PAPE , l’émetteur a décidé d’entreprendre un programme de prospection considérablement plus petit&nbsp;(programme rechange) que le programme recommandé.</li>
<li>
		Comme indiqué dans un rapport concernant le travail qui a été accompli&nbsp;(rapport sommaire), l’émetteur a dépensé 25&nbsp;000&nbsp;$ pour réaliser le programme de rechange plutôt que de débourser les 200&nbsp;000&nbsp;$&nbsp;prévus dans le programme recommandé.</li>
<li>
		Avant d’annoncer les résultats du programme de rechange, et malgré les recommandations du rapport sommaire qui suggérait de dépenser la somme additionnelle de 175&nbsp;000&nbsp;$ dans trois secteurs ciblés, l’émetteur a annoncé trois&nbsp;options&nbsp;: deux&nbsp;de ces options étaient conformes avec les recommandations de la personne qualifiée, et la troisième consistait à envisager une entreprise de technologie en chaîne de blocs.</li>
</ol>

	L’émetteur a déposé une demande d’inscription à la cote de la CSE à titre d’émetteur dans le secteur des ressources, et y était admissible. La CSE est d’avis que l’émetteur n’a pas poursuivi les objectifs d’affaires énoncés dans le prospectus de manière adéquate, ce qui est incohérent avec la divulgation à l’égard de laquelle l’approbation de l’inscription en bourse et la dispense relative aux dépenses admissibles ont été accordées.&nbsp;

	L’émetteur a ainsi obtenu l’approbation des actionnaires pour être radié de la cote de la CSE et d’aller de l’avant avec l’opération.
