	Netcoins Holdings Inc. has announced a consolidation of its issued and outstanding shares on the basis&nbsp; of one (1) post-consolidation common share for every twenty five (25) pre-consolidation common shares.

	As a result, the outstanding shares of the company will be reduced to approximately 4,856,589.&nbsp; No fractional Common Shares will be issued upon the Consolidation.&nbsp; In the event a holder of Common Shares&nbsp; would&nbsp; otherwise&nbsp; be&nbsp; entitled&nbsp; to&nbsp; receive&nbsp; a&nbsp; fractional&nbsp; Common&nbsp; Share&nbsp; in&nbsp; connection&nbsp; with&nbsp; the Consolidation, the number of Common Shares to be received by such shareholder will be rounded down to the next whole number if that fractional Common Share is less than one half (1/2) of a Common Share, and will be rounded up to the next whole number of Common Shares if that fractional Common Share is equal to or greater than one half (1/2) of a Common Share.

	The shares will begin trading on a consolidated basis and with a new CUSIP number on November 12, 2019.

	The name and symbol will not change.

	Please note that all open orders will be cancelled at the end of business on November 11, 2019. Dealers are reminded to re-enter their orders taking into account the share consolidation.

	En conséquence, les actions en circulation de la société seront réduites à environ 4 856 589. Aucune fraction d’action ordinaire ne sera émise lors du regroupement. Dans le cas où un porteur d’actions ordinaires aurait autrement le droit de recevoir une fraction d’action ordinaire dans le cadre du regroupement, le nombre d’actions ordinaires devant être reçu par cet actionnaire sera arrondi au nombre entier inférieur si cette fraction d’action ordinaire est: moins de la moitié (1/2) d’une action ordinaire, et sera arrondi au nombre entier d’actions ordinaires suivant si cette fraction d’action ordinaire est égale ou supérieure à la moitié (1/2) d’une action ordinaire.

	Les actions commenceront à être négociées sur une base consolidée et avec un nouveau numéro CUSIP le 12 novembre 2019.

	Le nom et le symbole ne changeront pas.

	Veuillez noter que toutes les commandes en cours seront annulées à la fin des opérations le 11 novembre 2019. Il est rappelé aux concessionnaires de ressaisir leurs commandes en tenant compte de la consolidation des actions.
