Le 11&nbsp;avril/April 2023

	GameSquare Esports Inc.&nbsp;("GameSquare") and&nbsp;Engine Gaming and Media, Inc. (“Engine”), have announced an arrangement agreement pursuant to which Engine will acquire all the issued and outstanding common shares of GameSquare&nbsp; at an exchange ratio of 0.08262 of a common share of Engine for each common share of GameSquare.

	The common shares of GameSquare will be delisted&nbsp;from the CSE at market close on April 11, 2023.

	The common shares will continue to trade on TSXV &amp; NASDAQ.
