	Planet 13 Holdings Inc. (the 'Issuer') intends to complete a plan of arrangement involving, among other things, the continuance of the Issuer from the jurisdiction of the Business Corporations Act (British Columbia) &nbsp;and domestication under the Nevada Revised Statutes to the State of Nevada (the “Continuance”) as set out in the Issuer’s proxy statement dated June 22, 2023 (the “Proxy Statement”). Pursuant to the Plan of Arrangement, each issued and outstanding common share in the authorized share structure of the Issuer as a British Columbia corporation (each, a “Common Share”) will for all purposes be deemed to be one issued and outstanding share of common stock with no par value of the Issuer (each, a “Common Stock”) as a Nevada corporation upon and following the Continuance.&nbsp;

	The new Planet 13 Holdings Shares will commence trading at market open on September 18, 2023.

	Planet 13 Holdings Inc. (l'«&nbsp;émetteur&nbsp;») a l'intention de compléter un plan d'arrangement impliquant, entre autres, la prorogation de l'émetteur de la juridiction de la Business Corporations Act (Colombie-Britannique) et la domestication en vertu des statuts révisés du Nevada à la État du Nevada (la « Prorogation ») comme indiqué dans la circulaire de sollicitation de procurations de l'Émetteur datée du 22 juin 2023 (la « Déclaration de procuration »). Conformément au plan d'arrangement, chaque action ordinaire émise et en circulation dans la structure d'actions autorisées de l'émetteur en tant que société de la Colombie-Britannique (chacune, une «&nbsp;action ordinaire&nbsp;») sera à toutes fins réputée être une action ordinaire émise et en circulation de actions sans valeur nominale de l'émetteur (chacune, une «&nbsp;action ordinaire&nbsp;») en tant que société du Nevada lors et après la prorogation.

	Les nouvelles actions Planet 13 Holdings commenceront à être négociées à l'ouverture du marché le 18 septembre 2023.
