	Ares Strategic Mining Inc. ("Ares") has announced a plan of arrangement (the “Transaction”) consisting of a sale and transfer of all of the Issuer’s interest in its Liard and Vanadium Ridge properties (the “Spinout Properties”) to Enyo Strategic Mining Inc. (“Enyo”), a wholly-owned subsidiary of the Issuer, in exchange for approximately 13,777,000 common shares of Enyo (the “Enyo Spinout Shares”).

	The Transaction will, among other things: (i) rename and re-designate its common shares (the “Ares Current Shares”) as ‘Class A Common Shares without par value’; and (ii) amend the authorized share structure of the Issuer to create a new class of shares (the “New Ares Shares”) consisting of an unlimited number of “common shares without par value” with terms and special rights and restrictions identical to those of the Ares Current Shares immediately prior to the closing of the Transaction.

	Each Ares current share held by the Issuer’s shareholders of record on September 14, 2023 will be exchanged for one New Ares Share and 0.1 of an Enyo Spinout Share.

Strategic Mining Inc. (« Enyo »), filiale en propriété exclusive de l'émetteur, en échange d'environ 13&nbsp;777&nbsp;000 actions ordinaires d'Enyo (les « actions dérivées d'Enyo »).

	La Transaction permettra, entre autres choses : (i) de renommer et de redésigner ses actions ordinaires (les « actions actuelles d'Ares ») en « actions ordinaires de catégorie A sans valeur nominale »&nbsp;; et (ii) modifier la structure actionnariale autorisée de l'Émetteur pour créer une nouvelle classe d'actions (les « Nouvelles Actions Ares ») composée d'un nombre illimité d'« actions ordinaires sans valeur nominale » avec des conditions, des droits spéciaux et des restrictions identiques à ceux des actions actuelles d'Ares immédiatement avant la clôture de la transaction.

	Chaque action Ares actuellement détenue par les actionnaires de l'émetteur inscrits au 14 septembre 2023 sera échangée contre une nouvelle action Ares et 0,1 actions dérivées d'Enyo.
