	HS GovTech Solutions Inc. (“HS GovTech”, or the “Company”) has announced the closing of its previously announced plan of arrangement with a British Columbia subsidiary of a US private equity fund operated by Banneker Partners LLC (the “Purchaser”), pursuant to which the Purchaser has acquired all of the issued and outstanding common shares of the Company (the “Share”), on a fully diluted basis, for an all-cash consideration of $0.54 per Share (the “Transaction”).

	In connection with the Transaction, each of the Company’s outstanding options, warrants, and restricted stock units (collectively with the Shares, the “Securities”) will be cancelled in exchange for a cash payment from the Purchaser equal to the amount (if any) by which $0.54 exceeds the exercise or conversion price of such option, warrant, or restricted stock unit, as applicable. The Company’s outstanding non-convertible debentures will also be repaid in connection with closing of the Arrangement.

	The securities of HS GovTech will be delisted from the CSE after the market close today, November 22, 2023.

(« HS GovTech » ou la « Société ») a annoncé la clôture de son plan d'arrangement précédemment annoncé avec une filiale de Colombie-Britannique d'un fonds de capital-investissement américain exploité par Banneker Partners LLC (l'« Acheteur ») , aux termes de laquelle l'acheteur a acquis la totalité des actions ordinaires émises et en circulation de la Société (l'« Action »), sur une base entièrement diluée, pour une contrepartie entièrement en espèces de 0,54 $ par action (la « Transaction »).

	Dans le cadre de la Transaction, chacune des options, bons de souscription et unités d'actions restreintes en circulation de la Société (collectivement avec les Actions, les « Titres ») seront annulés en échange d'un paiement en espèces de la part de l'Acheteur égal au montant (le cas échéant) dont 0,54&nbsp;$ dépasse le prix d'exercice ou de conversion de cette option, de ce bon de souscription ou de cette unité d'actions restreintes, selon le cas. Les débentures non convertibles en circulation de la Société seront également remboursées dans le cadre de la clôture de l’arrangement.

	Les titres de HS GovTech seront radiés du CSE après la clôture du marché aujourd'hui, le 22 novembre 2023.
