		Metamaterial Exchangeco Inc. ("the Company") has announced a consolidation of its issued and outstanding common shares on the basis of one (1) post-consolidated common share for every one hundred (100) pre-consolidated common shares.

		The consolidation is being implemented in connection with a consolidation of the common shares of Meta Materials Inc. (“MMAT, Listed on NASDAQ”) the parent company of the Company, which is being effected on the basis of one (1) post‐consolidation common share for every one hundred (100) pre‐consolidation common shares of MMAT, since the Exchangeable Shares are exchangeable for common shares of MMAT on a one‐for‐one basis. The Consolidation will affect all holders of Exchangeable Shares uniformly and will not affect any holder’s ownership percentage of the Company’s Exchangeable Shares.

		As a result, the outstanding shares of the company will be reduced to approximately 368,118 common shares.

		The name and symbol will not change.

		Please note that all open orders will be canceled at the close of business on January 26, 2024. Dealers are reminded to re-enter their orders taking into account the share consolidation.

		Metamaterial Exchangeco Inc. (« la Société ») a annoncé une consolidation de ses actions ordinaires émises et en circulation sur la base d'une (1) action ordinaire post-consolidée pour cent (100) actions ordinaires pré-consolidées.

		La consolidation est mise en œuvre dans le cadre d'une consolidation des actions ordinaires de Meta Materials Inc. (« MMAT, cotée au NASDAQ »), la société mère de la Société, qui est effectuée sur la base d'un (1) action ordinaire pour chaque cent (100) actions ordinaires pré-regroupement de MMAT, puisque les actions échangeables sont échangeables contre des actions ordinaires de MMAT sur une base de une pour une. Le regroupement affectera uniformément tous les porteurs d’actions échangeables et n’aura aucune incidence sur le pourcentage de propriété d’un porteur dans les actions échangeables de la Société.

		En conséquence, les actions en circulation de la société seront réduites à environ 368 118 actions ordinaires.

		Le nom et le symbole ne changeront pas.

		Veuillez noter que toutes les commandes ouvertes seront annulées à la fermeture des bureaux le 26 janvier 2024. Il est rappelé aux concessionnaires de ré-saisir leurs commandes en tenant compte de la consolidation des actions.
