	Lancaster Resources Inc. (“Lancaster” or the “Company”) has announced that further to the Spin-Off Agreement announced on January 2, 2024, the Company has entered into an arrangement agreement dated January 29, 2024 (the “Arrangement Agreement”) which outlines the terms and procedures for a plan of arrangement with its wholly owned subsidiary Nelson Lake Copper Corp. (“Nelson Lake”) whereby the Company intends to spin off the majority of its holdings in Nelson Lake by issuing a stock dividend of Nelson Lake common shares to Lancaster shareholders.

	The transaction will be carried out by way of a statutory plan of arrangement (the “Spin-Off”). Through the Spin-Off, shareholders of the Company will receive a stock dividend of Nelson Lake shares at a ratio of 0.02 Nelson Lake Shares for every Lancaster share owned (the “Stock Dividend”) as of the record date of February 5, 2024 (the “Record Date”).

	Lancaster Resources Inc. (« Lancaster » ou la « Société ») a annoncé qu'à la suite de l'accord de scission annoncé le 2 janvier 2024, la Société a conclu un accord d'arrangement daté du 29 janvier 2024 (l'« Accord d'arrangement » ) qui décrit les modalités et procédures d'un plan d'arrangement avec sa filiale en propriété exclusive Nelson Lake Copper Corp. (« Nelson Lake ») par lequel la Société a l'intention de céder la majorité de ses participations dans Nelson Lake en émettant un dividende en actions de Nelson Actions ordinaires de Lake aux actionnaires de Lancaster.

	La transaction sera réalisée au moyen d'un plan d'arrangement statutaire (« la scission »). Grâce à la scission, les actionnaires de la Société recevront un dividende en actions de Nelson Lake à raison de 0,02 action de Nelson Lake pour chaque action Lancaster détenue (le « dividende en actions ») à la date d'enregistrement du 5 février 2024 ( la « Date d’Enregistrement »).
