	AYR Wellness Inc.&nbsp;(“AYR” or the “Company”) has announced that further to the news releases dated December 22, 2023 and January 31, 2024, the Company will issue a distribution of 23,046,067 warrants each exercisable for one Subordinate Voting Share ("SVS Shares") at US$2.12 (the “Anti-Dilutive Warrants”) shall be issued to the holders of record of the issued and outstanding (i) SVS Shares, (ii) multiple voting shares of the Company and (iii) shares of any subsidiary of the Company that are exchangeable for SVS Shares (collectively, the “Shareholders”), representing in the aggregate approximately 16.5% of the pro forma fully-diluted issued capital (subject to certain exclusions as described in the news release).

	Closing of the previously announced plan of arrangement (the “Arrangement”) involving the Company and AYR Wellness Canada Holdings Inc. (“AYR Wellness Canada”), is targeted for on or around February 7, 2024, and the record date for determining the Shareholders entitled to receive the Anti-Dilutive Warrants pursuant to the Arrangement has been set as the close of business on February 5, 2024.

	AYR Wellness Inc. (« AYR » ou la « Société ») a annoncé qu'à la suite des communiqués de presse datés du 22 décembre 2023 et du 31 janvier 2024, la Société émettra une distribution de 23&nbsp;046&nbsp;067 bons de souscription pouvant chacun être exercés pour une action à droit de vote subalterne ( « Actions SVS ») au prix de 2,12 $ US (les « bons de souscription antidilutifs ») seront émis aux détenteurs inscrits des (i) actions SVS émises et en circulation, (ii) actions à droit de vote multiple de la Société et (iii) actions. de toute filiale de la Société qui sont échangeables contre des actions SVS (collectivement, les « Actionnaires »), représentant au total environ 16,5 % du capital émis pro forma entièrement dilué (sous réserve de certaines exclusions décrites dans le communiqué de presse).
