	<span class="test-id__field-value slds-form-element__static slds-grow word-break-ie11">Cruz Battery Metals Corp. (t</span>he 'Issuer') has announced a plan of arrangement (the “Transaction”) consisting of a sale and transfer of all the Issuer’s interest in its Hector Silver-Cobalt Project (the “Hector Property”) to its wholly-owned subsidiary, Makenita Resources Inc. (“Makenita”) in consideration for shares of Makenita (the “Makenita Spinout Shares”). In connection with the Transaction, the Issuer will among other things rename and re-designate its common shares (the “Cruz Current Shares”) as ‘Class A Common Shares without par value’ (the “Cruz Class A Shares”); and create a new class of an unlimited number of common shares without par value with terms identical to the Cruz Shares (the “New Cruz Shares”).</p>

	The holders of Cruz Class A Shares will then receive one New Cruz Share and and 0.1 of a Makenita Spinout Share in exchange for each Cruz Class A Share.</p>
<p class="text-justify">
	The new Cruz Shares will commence trading at market open on December 23, 2024.</p>

	Cruz Battery Metals Corp. (l'« émetteur ») a annoncé un plan d'arrangement (la « transaction ») consistant en une vente et un transfert de la totalité de la participation de l'émetteur dans son projet Hector Silver-Cobalt ( la « propriété Hector ») à sa filiale en propriété exclusive, Makenita Resources Inc. (« Makenita ») en contrepartie des actions de Makenita (les « actions dérivées de Makenita »). Dans le cadre de la transaction, l'émetteur renommera et désignera notamment ses actions ordinaires (les « actions actuelles de Cruz ») en « actions ordinaires de catégorie A sans valeur nominale » (les « actions de catégorie A de Cruz ») ; et créer une nouvelle catégorie d'un nombre illimité d'actions ordinaires sans valeur nominale avec des conditions identiques aux actions Cruz (les « nouvelles actions Cruz »).</p>

	Les détenteurs d'actions Cruz de classe A recevront alors une nouvelle action Cruz et 0,1 action Makenita Spinout en échange de chaque action Cruz de classe A.</p>
