	Foremost Clean Energy Ltd. ("Foremost") has announced the effective date of the previously announced spin out (the “Spin-Out”) of its gold and silver properties.&nbsp; THe spin-out of Rio Grande Resources Ltd. (“Rio Grande”), is anticipated to occur on January 30, 2025 (the “Effective Date”). 

	Pursuant to the Arrangement, shareholders of Foremost will receive one (1) new common share of Foremost (each a “New Foremost Share”) and two (2) common shares of Rio Grande (the “Rio Grande Shares”) for each common share of Foremost (“Foremost Share”) held.

	Foremost Clean Energy Ltd. (« Foremost ») a annoncé la date d'entrée en vigueur de la scission précédemment annoncée (la « scission ») de ses propriétés d'or et d'argent. La scission de Rio Grande Resources Ltd. (« Rio Grande ») devrait avoir lieu le 30 janvier 2025 (la « date d'entrée en vigueur »).

	Conformément à l'entente, les actionnaires de Foremost recevront une (1) nouvelle action ordinaire de Foremost (chacune, une « nouvelle action Foremost ») et deux (2) actions ordinaires de Rio Grande (les « actions Rio Grande ») pour chaque action ordinaire.
