	Athena Gold Corporation has announced a reorganization of its common shares in connection with its redomicile from the State of Delaware to the Province of British Columbia, Canada, by way of a merger into its British Columbia subsidiary, Nova Athena Gold Corp. (“Nova Athena”),&nbsp; together with concurrent name change, to form the amalgamated corporation which will continue under the name “Athena Gold Corporation” (the “Resulting Issuer”) (the “Redomestication”).&nbsp;</p>

	Under the terms of the Agreement and Plan of Merger and Amalgamation dated February 4, 2025, the Issuer’s shareholders will receive one common share in the capital of Nova Athena for each common share of Athena Gold Corporation with the Resulting Issuer retaining its current name, Athena Gold Corporation, and current trading symbol “ATHA”.&nbsp; The Issuer has set the record date to be April 24, 2025.</p>

	Athena Gold Corporation a annoncé une réorganisation de ses actions ordinaires dans le cadre de sa redomiciliation de l'État du Delaware vers la province de la Colombie-Britannique, au Canada, par le biais d'une fusion avec sa filiale de la Colombie-Britannique, Nova Athena Gold Corp. (« Nova Athena »), ainsi qu'un changement de nom simultané, pour former la société fusionnée qui continuera sous le nom de « Athena Gold Corporation » (l'« émetteur résultant ») (la « redomiciliation »).</p>

	Aux termes de l'accord et du plan de fusion datés du 4 février 2025, les actionnaires de l'émetteur recevront une action ordinaire de Nova Athena pour chaque action ordinaire d'Athena Gold Corporation. L'émetteur résultant conservera sa dénomination sociale actuelle, Athena Gold Corporation, et son symbole boursier actuel, « ATHA ». L'émetteur a fixé la date d'enregistrement au 24 avril 2025.</p>
