	American Pacific Mining Corp. (the 'Issuer', 'APM') has announced a plan of arrangement (the “Arrangement”) pursuant to an arrangement agreement dated December 7, 2025, as amended January 21, 2026, between the Issuer and ICG Silver &amp; Gold Ltd. (“ICG”).</p>
<p>
	Pursuant to the arrangement, the Issuer will re-designate all of its issued and unissued common shares as Class A common shares without par value being the “APM Class A Shares”, and create a new class consisting of an unlimited number of common shares without par value with terms and special rights and restrictions identical to those of the APM Class A Shares, being the “APM Common Shares”.</p>
<p>
	Holders of APM Class A Shares (“APM Shareholders”) will receive one APM Common Share and approximately 0.0283 (the “Exchange Ratio”) of a common share of ICG (each whole share, an “ICG Share”) in exchange for each APM Class A Share, with the final Exchange Ratio to be determined based on the number of issued and outstanding common shares of the Company (“APM Shares”) as of the Closing Date.</p>

	The new APM Shares will commence trading at market open on March 25, 2026.</p>

	American Pacific Mining Corp. (l’« Émetteur », « APM ») a annoncé un plan d’arrangement (l’« Arrangement ») conformément à une convention d’arrangement datée du 7 décembre 2025, telle que modifiée le 21 janvier 2026, conclue entre l’Émetteur et ICG Silver &amp; Gold Ltd. (« ICG »).</p>

	Conformément à l’Arrangement, l’Émetteur requalifiera toutes ses actions ordinaires émises et non émises en actions ordinaires de catégorie A sans valeur nominale, qui seront les « Actions de catégorie A d’APM », et créera une nouvelle catégorie d’actions ordinaires sans valeur nominale, dont le nombre est illimité et qui associera des modalités, des droits et des restrictions identiques à ceux des Actions de catégorie A d’APM, qui seront les « Actions ordinaires d’APM ».</p>

	<span lang="fr"><span><span>Les détenteurs d'actions de catégorie A d'APM (« Actionnaires APM ») recevront une action ordinaire d'APM et environ 0,0283 action ordinaire d'ICG (le « Ratio d'échange ») (chaque action entière étant désignée comme une « Action ICG ») en échange de chaque action de catégorie A d'APM. Le Ratio d'échange définitif sera déterminé en fonction du nombre d'actions ordinaires émises et en circulation de la Société (« Actions APM ») à la date de clôture.</span></span></span></p>
