	Red Lake Gold Inc. (“Red Lake Gold” or the "Corporation") is pleased to announce that it has received court approval by way of a final order granted by the Supreme Court of British Columbia on October 29th, 2020 enabling Red Lake Gold to proceed with the completion of its spin-out of Alma Gold Inc. to shareholders. The Corporation advises that the distribution of common shares of Alma Gold Inc. to shareholders is expected to occur on or about November 6, 2020 (the “Effective Date”), and applies to shareholders as at the record date as further set forth in regulatory filings pertaining to the Alma Gold Inc. spin-out matter.

	There is no change in the Red Lake’s name and no consolidation of capital as a result of the Arrangement.

	In accordance with the above-referenced Arrangement, common shares of Red Lake outstanding immediately prior to completion of the Arrangement (the "Old Shares") will be redesignated as Class A common shares, which will be subsequently exchanged for (i) one new common share of Red Lake (the "New Share") and (ii) 0.95 of an Alma share ("Alma Share") for each Old Share of Red Lake held before the effective date of the transaction. Warrants and options of the Red Lake held before the effective date of the transaction are also adjusted pursuant to the Arrangement as described in more detail in the Circular.&nbsp;

	The New Shares of Red Lake will be listed on the Exchange effective at the market opening Monday, November 9, 2020.

(«Red Lake Gold» ou la «Société») est heureuse d'annoncer qu'elle a reçu l'approbation du tribunal au moyen d'une ordonnance finale rendue par la Cour suprême de la Colombie-Britannique le 29 octobre 2020 autorisant Red Lake Gold de procéder à l'achèvement de son spin-out d'Alma Gold Inc. aux actionnaires. La Société avise que la distribution d'actions ordinaires d'Alma Gold Inc. aux actionnaires devrait avoir lieu le ou vers le 6 novembre 2020 (la «date d'entrée en vigueur») et qu'elle s'applique aux actionnaires à la date de clôture des registres, comme indiqué plus en détail dans la réglementation les dépôts relatifs à l'affaire dérivée d'Alma Gold Inc.

	Il n’ya pas de changement de nom ni de consolidation du capital à la suite de l’arrangement.

	Conformément à l'arrangement susmentionné, les actions ordinaires de Red Lake en circulation immédiatement avant la réalisation de l'arrangement (les «anciennes actions») seront redésignées en actions ordinaires de catégorie A, qui seront par la suite échangées contre (i) une nouvelle action ordinaire part de Red Lake (la «nouvelle action») et (ii) 0,95 d'une action Alma («action d'Alma») pour chaque ancienne action de Red Lake détenue avant la date d'entrée en vigueur de la transaction. Les bons de souscription et les options de Red Lake détenus avant la date de prise d'effet de la transaction sont également ajustés conformément à l'arrangement, comme il est décrit plus en détail dans la circulaire.

	Les Nouvelles Actions de Red Lake seront cotées à la Bourse à compter de l'ouverture du marché le lundi 9 novembre 2020.
