	Victory Square Technologies Inc. (“Victory Square” or “VST”)&nbsp; is pleased to announce that it&nbsp;has declared a special dividend of common shares in the capital of its portfolio company Fantasy 360 Technologies Inc. dba Immersive Technologies (“Immersive”) to shareholders of Victory Square (the “Dividend”). The Dividend represents approximately 9,000,000 shares in Immersive in total (“Immersive Shares”) which will be distributed to Victory Square shareholders on separate dates as two different tranches.

	The first tranche will consist of approximately 4,500,000 Immersive Shares which will be eligible to Victory Square shareholders of record as of the close of business on August 20, 2021 (the “First Tranche Dividend”), at a rate of approximately 46.15730 Immersive Shares for each 1,000 Victory Square shares held. The First Tranche Dividend ratio is based on 96,386,043 Victory Square shares issued and outstanding on the date hereof.

	The second tranche will consist of approximately an additional 4,500,000 Immersive Shares which will be eligible to Victory Square shareholders of record as of a date to be determined by Victory Square prior to end of the current calendar year.

(« Victory Square » ou « VST ») a le plaisir d'annoncer qu'elle a déclaré un dividende spécial d'actions ordinaires dans le capital de sa société de portefeuille Fantasy 360 Technologies Inc. dba Immersive Technologies (« Immersive ») à actionnaires de Victory Square (le « Dividende »). Le dividende représente environ 9 000 000 d'actions d'Immersive au total («&nbsp;Actions d'Immersive&nbsp;») qui seront distribuées aux actionnaires de Victory Square à des dates distinctes en deux tranches différentes. 

	La première tranche se composera d'environ 4 500 000 Actions Immersives qui seront éligibles aux actionnaires de Victory Square inscrits à la fermeture des bureaux le 20 août 2021 (le « Dividende de la Première Tranche »), à un taux d'environ 46.15730 Actions Immersives pour chaque 1 000 actions Place de la Victoire détenues. Le ratio de dividende de la première tranche est basé sur 96 386 043 actions Victory Square émises et en circulation à la date des présentes. 

	La deuxième tranche consistera en environ 4 500 000 actions immersives supplémentaires qui seront éligibles pour les actionnaires de Victory Square inscrits à une date qui sera déterminée par Victory Square avant la fin de l'année civile en cours.
