	Harvest Health &amp; Recreation Inc. ("Harvest") and Trulieve Cannabis Corp. ("Trulieve" or the "Company"), have completed its previously announced arrangement, pursuant to which&nbsp;Trulieve&nbsp;acquired all of the issued and outstanding subordinate voting shares, multiple voting shares and super voting shares (collectively the "Harvest Shares") of Harvest (the "Transaction").

	The Transaction was completed by way of a plan of arrangement (the "Arrangement") under the provisions of the Business Corporations Act (British Columbia). Pursuant to the terms of the Arrangement, holders of Harvest Shares received 0.1170 of a subordinate voting share of Trulieve (each whole subordinate voting sare, a "Trulieve Share") for each subordinate voting share of Harvest (on a converted basis) held. In total, Trulieve issued an aggregate of 50,874,175 Trulieve Shares in connection with the Transaction in exchange for all of the issued and outstanding Harvest Shares.

	The subordinate voting shares of Harvest will be delisted as of the close of trading on October 4, 2021, and Harvest intends to submit an application to the applicable securities regulators to cease to be a reporting issuer and terminate its public reporting obligations in due course.

	Harvest Health &amp; Recreation Inc. ("Harvest") et Trulieve Cannabis Corp. ("Trulieve" ou la "Société"), ont conclu l'arrangement annoncé précédemment, en vertu duquel Trulieve a acquis toutes les actions à droit de vote subalterne émises et en circulation, plusieurs actions avec droit de vote et super actions avec droit de vote (collectivement les «&nbsp;Actions de Harvest&nbsp;») de Harvest (la «&nbsp;Transaction&nbsp;»).

	L'opération a été réalisée au moyen d'un plan d'arrangement (l'« arrangement ») en vertu des dispositions de la Business Corporations Act (Colombie-Britannique). Aux termes de l'arrangement, les porteurs d'actions de Harvest ont reçu 0,1170 action à droit de vote subalterne de Trulieve (chaque action à droit de vote subalterne entière, une « action de Trulieve ») pour chaque action à droit de vote subalterne de Harvest (sur une base convertie) détenue. 	Les actions à droit de vote subalterne de Harvest seront radiées de la cote à la clôture des marchés le 4 octobre 2021, et Harvest a l'intention de soumettre une demande aux autorités de réglementation des valeurs mobilières compétentes pour cesser d'être un émetteur assujetti et mettre fin à ses obligations de déclaration publique en temps voulu.
