	Plant &amp; Co. Brands Ltd. (“PLANT &amp; CO” or the “Company”), has announced that it has determined the share distribution record date with respect to the plan of arrangement (the “Arrangement”) among the Company, 1309185 BC Ltd. (“Spinco”) and the shareholders of the Company (the “VEGN Shareholders”). Under the terms of the Arrangement, VEGN Shareholders of record at the close of business on December 29, 2021 (the “Share Distribution Record Date”) will receive one common share of Spinco (a “Spinco Share”) with respect to every one common share of the Plant&amp;Co (a “VEGN Share”) multiplied by the conversion factor (“the “Conversion Factor”).

	Pursuant to the Arrangement, the Conversion Factor means the number arrived at by dividing 10,000,000 (ten million) by the number of issued VEGN Shares as of the close of business on the Share Distribution Record Date so that the total number of Spinco Shares to be issued to the VEGN Shareholders pursuant to the Arrangement is equal to 10,000,000 (ten million) Spinco Shares, subject to rounding of fractional shares.

	Spinco Shares will be issued to the VEGN Shareholders on or around December 31, 2021.

("PLANT &amp; CO" ou la "Société"), a annoncé qu'elle avait déterminé la date d'enregistrement de la distribution des actions en ce qui concerne le plan d'arrangement (l'"Arrangement") entre la Société, 1309185 BC Ltd. (« Spinco ») et les actionnaires de la Société (les « Actionnaires de VEGN »). Aux termes de l'arrangement, les actionnaires de VEGN inscrits à la fermeture des bureaux le 29 décembre 2021 (la «&nbsp;date de référence pour la distribution des actions&nbsp;») recevront une action ordinaire de Spinco (une «&nbsp;action de Spinco&nbsp;») à l'égard de chaque action ordinaire part de Plant&amp;Co (une «&nbsp;Action VEGN&nbsp;») multipliée par le facteur de conversion («&nbsp;le «&nbsp;Facteur de conversion&nbsp;»).

	Aux termes de l'arrangement, le facteur de conversion désigne le nombre obtenu en divisant 10 000 000 (dix millions) par le nombre d'actions VEGN émises à la fermeture des bureaux à la date d'enregistrement de la distribution des actions, de sorte que le nombre total d'actions Spinco à émettre aux actionnaires de VEGN conformément à l'arrangement est égal à 10 000 000 (dix millions) d'actions Spinco, sous réserve de l'arrondi des fractions d'actions.

	Les Actions Spinco seront émises aux Actionnaires de VEGN le ou vers le 31 décembre 2021.
